James M. Hill Joins HSE as Executive Vice-President Based In Southern Ontario
NEWS RELEASE – October 20, 2005
HSE Integrated Ltd. ("HSE" or the "Company") is pleased to announce that effective November 1, 2005, James M. ("Jim") Hill will be assuming the position of Executive Vice-President of HSE. Mr. Hill will be immediately charged with opening a regional office for the Company in Simcoe, Ontario from which will provide HSE with a management base from which to service the Company’s growing industrial client base in Eastern Canada, Southern Ontario and upper Midwest of the United States.
Mr. Hill has served as a Director of HSE since it was restructured on October 27, 2003 and will remain in this capacity going forward. However, in conjunction with becoming an officer of the Company he will resign as Chairman of the Audit Committee of the Board of Directors. HSE has begun the process of seeking a qualified individual to fill this position.
For the past four years Mr. Hill has been Chief Financial Officer of Integrated Production Services Ltd. ("IPS") of Calgary. IPS is an integrated supplier of wellbore production services and equipment that previously traded on the Toronto Stock Exchange prior to being taken private by a Houston-based private equity fund in July, 2002. Since that time IPS has expanded substantially through acquisitions and mergers in Canada, the United States and Mexico and is now a subsidiary of Complete Production Services, Inc. of Houston, Texas. Mr. Hill has resigned from his position at IPS as of October 15 to join HSE.
Mr. Hill is a chartered account and holds a Bachelor of Science degree in mathematics. Prior to joining IPS, Mr. Hill held senior operating and financial positions of increasing responsibility with DALSA Corporation, an optical imaging technology company based in Waterloo, Ontario, Canadian Fracmaster Ltd. and Nowsco Well Service Ltd.
The key addition of Mr. Hill joining HSE is a very important component of HSE's long-term objective of diversification into industrial health, safety and environmental services outside of its core business in the upstream petroleum industry. It will allow the Company to leverage HSE's acquisition of an industrial safety services contractor with operations in Sarnia, Windsor, Brockville, Dartmouth and Michigan. Mr. Hill will be responsible for the continued success of the existing HSE operations in central and eastern Canada, as well as provide senior financial and management guidance to assist HSE in continuing to grow in this large and promising market. His experience in business operations in the United States will provide HSE with direction as the Company expands into this market beyond is existing operations in the Detroit area.
David Yager, Chairman and CEO of HSE, had the following comments.
"Having Jim join HSE as an officer is a very positive development. He knows what we are trying to accomplish because he's been involved as a Director for two years. He also understands the opportunities and challenges of sectoral consolidation and rapid geographic expansion through his experience at IPS. Jim is well-versed in the public capital markets and has senior management experience in larger organizations such as the one HSE is becoming.
His location in southern Ontario will send a strong message to our customers and potential future business partners that we'e committed to building our business in this significant market, and that we now have another highly qualified and experienced executive to make it happen. Jim's business experience in the United States will contribute to HSE's strategies in this large market for both upstream petroleum and industrial safety services.
Attracting the right people to help build a rapidly growing organization like HSE is fundamental to our success. This is another very important component of building our team".
